Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and AAA Flowers Inc governing your access to and use of the website at assay.guide and its content (together, the “Site”). By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not use the Site.

The Site is operated by AAA Flowers Inc (operating as “Medici Finance”), a Panama corporation (“we”, “us”, or “our”). You can reach us by written notice to AAA Flowers Inc via hello@assay.guide.

The Site is an informational website and blog about the Assay verification and agent-engineering methodology. It exists to explain and document that methodology and related tooling. It is provided for general information and education only, and we may change, suspend, or discontinue any part of it at any time.

Except for the marks and materials reserved in Section 5, the articles, written content, and original artwork published on the Site are made available under the Creative Commons Attribution-NonCommercial 4.0 International (CC BY-NC 4.0) license. The full license text is available at creativecommons.org/licenses/by-nc/4.0.

Under that license, and subject to its terms, you are free to:

• Share — copy and redistribute the material in any medium or format; and
• Adapt — remix, transform, and build upon the material,

provided that you:

• Give attribution — credit “AAA Flowers Inc / Medici Finance”, provide a link back to the Site, and indicate if changes were made, in any reasonable manner but not in any way that suggests we endorse you or your use; and
• Use it non-commercially — you may not use the material for commercial purposes.

Any use beyond what CC BY-NC 4.0 permits — including any commercial use — requires our prior written permission. Request it at hello@assay.guide.

The content license in Section 4 does not grant any rights in our trademarks, brand names, or logos — including the “Assay” and “Medici Finance” names and the Assay mark. All such trademarks, brand names, and logos are reserved and are not licensed by these Terms or by CC BY-NC 4.0. You may not use them without our prior written permission, except as required to give the attribution described in Section 4. Open-source software associated with the methodology is governed separately by the license stated in its own repository.

When using the Site, you agree not to:

• attack, disrupt, or attempt to gain unauthorized access to the Site or its infrastructure;
• scrape, harvest, or access the Site in an abusive, excessive, or automated manner that burdens or interferes with its operation;
• misrepresent your affiliation with us, or use the Site or our content in a way that suggests our endorsement without permission; or
• use the Site for any unlawful purpose or in violation of these Terms or any applicable law.

The content on the Site is provided for informational and educational purposes only. It is not financial, investment, legal, tax, or other professional advice, and it must not be relied upon as such. Nothing on the Site creates any advisory, fiduciary, or professional relationship between you and us, and nothing on the Site is an offer, solicitation, or recommendation to buy or sell any security, product, or service. You should obtain your own professional advice before acting on anything you read here.

The Site and all content are provided “AS IS” and “AS AVAILABLE”, without warranties of any kind, whether express or implied. To the maximum extent permitted by law, we disclaim all warranties, including any implied warranties of accuracy, completeness, merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error-free, or that any information on it is accurate or current.

To the maximum extent permitted by the law of the Republic of Panama, in no event will AAA Flowers Inc, its affiliates, or its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of — or inability to use — the Site or its content, whether based in contract, tort (including negligence), or any other legal theory, even if we have been advised of the possibility of such damages. Where liability cannot be excluded as a matter of law, it is limited to the smallest extent permitted by that law.

The Site may link to, or embed content from, third-party services — for example, explainer videos embedded from YouTube. We do not control those third-party sites and services, we are not responsible for their content, availability, or practices, and their inclusion does not imply our endorsement. Your use of any third-party site or service is governed by that third party’s own terms and privacy policy.

The Site offers an optional email subscription, handled by Mailchimp (operated by The Rocket Science Group LLC, an Intuit company) as our email service provider. If you subscribe, you consent to receiving the email updates you request, and you can unsubscribe at any time using the link in every email we send. Our handling of your subscription details is described in our Privacy Policy.

We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page. Your continued use of the Site after an update means you accept the revised Terms.

These Terms, and any dispute arising out of or relating to them or to the Site, are governed by the laws of the Republic of Panama, without regard to its conflict-of-laws rules. You agree that the courts of the Republic of Panama are the exclusive venue for any such dispute.
